Short‑Form Terms & Conditions
The Incremental Pathway

These terms apply to all services provided by The Incremental Pathway Limited (“TIP”) unless a separate signed agreement states otherwise.

1. Scope & Order

The Quote or Statement of Work (SoW) sets out the services, deliverables, fees, and schedule. Any changes require written agreement by both parties.

2. Fees, Expenses & Taxes

Fees exclude VAT and reasonable approved expenses. VAT is charged at the prevailing rate. Client will not withhold or set‑off unless required by law.

3. Invoicing & Payment

Invoices are payable within 30 days of the invoice date. Statutory late‑payment interest and recovery costs may apply under the Late Payment of Commercial Debts (Interest) Act 1998.

4. Intellectual Property & Licensing

TIP retains all rights in its background IP, tools, templates, and methods. On full payment, the Client receives a perpetual, non‑exclusive, royalty‑free licence to use deliverables internally. External publication, sublicensing, or brand use requires prior written consent.

5. Confidentiality

Each party will keep the other’s confidential information secret and use it only for the engagement. Exceptions apply for information that is public, already known, independently developed, or legally required to be disclosed.

6. Data Protection & Tooling

If personal data is processed, the parties will enter into a Data Processing Addendum compliant with UK GDPR and the Data Protection Act 2018. TIP’s use of AI and related tooling will follow the Client’s instructions and TIP’s Data Handling & Tool Usage terms.

7. Warranties

TIP warrants services will be delivered with reasonable skill and care. Except as stated, services are provided “as is” and all other warranties are excluded to the extent permitted by law.

8. Liability

Neither party excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law. Neither party is liable for indirect or consequential loss (including loss of profits or goodwill). TIP’s total liability is capped at the greater of £250k or 100% of fees paid or payable under the applicable SoW in the preceding 12 months.

9. Insurance

TIP maintains professional indemnity insurance at commercially reasonable levels and will provide evidence on request.

10. Cancellation & Rescheduling

Workshops or sessions moved:

• ≥20 business days prior: no charge

• <20 business days: 50% fee

• <5 business days or no‑show: 100% fee plus non‑refundable costs

11. Subcontracting

TIP may use vetted subcontractors and remains responsible for their work.

​

12. Termination

Either party may terminate for material breach if not cured within 14 days of written notice. TIP may suspend or terminate for non‑payment.

​

13. Governing Law & Jurisdiction

These terms are governed by the laws of England and Wales, and the courts of England have exclusive jurisdiction.

​

14. Entire Agreement

These terms and the Quote/SoW form the entire agreement for the engagement and supersede prior discussions on the same subject.
